Financing
Our attorneys are experienced in negotiating and structuring debt and equity financing for all types of major real estate transactions. This includes permanent loans, mezzanine loans, construction and revolving credit financing, defeasance, syndicated loan transactions, private placement memorandums, balance sheet debt, and commercial mortgage-backed securities (CMBS) transactions. We have represented borrowers, co-borrowers, and guarantors on transactions ranging from $5,000,000 to those exceeding $500,000,000.
Leasing
We represent landlords and tenants in all types of commercial real estate lease transactions. This includes retail leases, ground leases, office, industrial, and cell tower leasing, and biotechnology and data center leasing. We have structured leases involving more than 100 million square feet of leaseable area.
Joint Ventures
Virtually all real estate transactions involve the creation and structuring of new entities or joint ventures. Our attorneys have artfully designed the deal architecture and coordinated, negotiated, drafted, and documented joint venture agreements for a multitude of real estate transactions of varying size and complexity. These include partnership agreements, limited liability company agreements, tenancy-in-common structures, management agreements, contractor and license agreements, and include multi-tiered agreements between the owner and its debt and equity sources.
Development
Our experience in development includes the representation of clients engaged in the development and redevelopment of every type of commercial property, including hotels, office buildings, regional malls, power centers, supermarkets, community centers, residential, including multi-family and single-family residential projects, international resorts, and biotechnology and industrial projects.
